Terms of Service

Facet is an invitation-only, free beta for keeping private relationship context. You keep your rights in what you save. Do not use Facet unlawfully or to harm, harass or monitor another person. Device reminders are not guaranteed. There are no payments or automatic future charges in this beta. You can export your data and delete your account. The full terms below are the agreement.

1. Who provides Facet

Facet is operated by Leah Zou, a sole trader trading as Outbox Labs (referred to in these Terms as “Facet”, “we”, “us” or “our”). Facet and Outbox Labs are trading names, not separate limited companies.

2. About these Terms

These Terms govern your access to and use of the Facet mobile applications, website features that form part of the service, your Facet account and the invitation-only beta service (together, the “Service”). Our Privacy Notice explains how we handle personal data.

Please read these Terms before creating an account. By creating an account or choosing to continue after the Terms are presented to you, you agree to them. If you do not agree, do not create or use a Facet account. You may contact us before agreeing if something is unclear.

3. Who may use Facet

You may use Facet only if all of the following are true:

Facet is designed for individual accounts. You must not sell, transfer, share or make your invitation or account available to another person.

4. What Facet provides during the beta

Facet provides a private space where you can save and revisit information about people and relationships, including names, notes, circles, photos and follow-up reminders. Facet is not a social network, public directory, emergency service or professional advice service.

The beta is a developing service. Features may be incomplete, unavailable or changed as we learn from testing. We will use reasonable care and skill in providing the Service, but we do not promise that every beta feature will always be available, uninterrupted or error-free.

5. Free beta access and future pricing

The invitation-only beta is free. Beta Pro access is provided without a purchase, payment method, paid trial, subscription, renewal or automatic conversion to a paid plan. There is currently no live purchase, restore, refund or cancellation flow.

If Facet later offers a paid service or introduces limits, we will explain the price, features and applicable terms before you make a purchase or incur a charge. We will not charge you merely because you took part in the free beta. Your express agreement will be required before any future payment.

6. Your account and invitation

You must provide accurate account information and keep access to your email account and device secure. Tell us promptly at hello@getfacet.space if you believe your invitation, account or authentication method has been compromised.

Initial invitation verification may require an internet connection. A previously verified account may work for a limited period offline, but some features will require reconnection. Access is personal to you and may expire or be revoked in accordance with these Terms.

7. Your content and your rights

“Your Content” means information you add to Facet, including names, notes, relationship context, circles, photos, reminder details and feedback text. You keep any rights you have in Your Content. These Terms do not transfer ownership of Your Content to us.

You give us a non-exclusive, worldwide and royalty-free permission to host, store, reproduce, format, transmit and otherwise process Your Content only as reasonably necessary to provide, secure, maintain and support the Service, follow your instructions, and comply with law. This permission lasts while the relevant content remains in the Service and ends when it is deleted, subject to temporary technical copies and any limited retention described in the Privacy Notice or required by law.

Facet does not publish Your Content to other Facet users. Service providers may process it on our behalf as described in the Privacy Notice. You are responsible for keeping your own exported copies of anything you cannot afford to lose.

8. Information about other people

Facet is intended to help you remember relationship context, but the information you save may concern other people. You must use good judgement, respect their privacy and dignity, and comply with applicable data-protection, confidentiality, intellectual-property and other laws.

You must not add or use information where you do not have a lawful reason or any permission required by law. In particular, do not use Facet to:

10. Reminders and device features

Follow-up reminders are a convenience feature. During the beta they are scheduled on the device where you create them. They are not remotely delivered or synchronised across devices. Reinstalling Facet, changing devices, changing permissions, battery settings, operating-system behaviour, clock settings or connectivity may prevent or delay a reminder.

Do not rely on Facet reminders for emergencies, personal safety, medical needs, legal deadlines, financial deadlines or any situation where delay or non-delivery could cause serious harm. You remain responsible for checking and acting on anything important.

11. Privacy and optional analytics

Our Privacy Notice explains what personal data we process, why we process it, the service providers involved, retention, international transfers and your rights. It forms a separate notice and does not reduce any rights you have under data-protection law.

If Facet offers optional analytics, the choice is separate from accepting these Terms. Declining analytics does not reduce your product access. You may change the choice in Settings. Names, notes, relationship details, drafts, photos, reminder content, search text, feedback text, authentication data and payment data are excluded from the privacy-limited analytics described for the beta.

12. Feedback

You may send feedback through the app or by email. You do not have to provide feedback. If you do, you give us permission to use the ideas and suggestions without payment or restriction to improve Facet, provided we handle any personal data and private content in accordance with the Privacy Notice. This does not transfer ownership of Your Content or give us permission to publish private relationship details.

13. Our app, brand and intellectual property

The app, Service, software, visual design, documentation, Facet name and associated materials belong to us or our licensors. Subject to these Terms and any applicable app-store terms, we give you a personal, limited, non-exclusive, non-transferable and revocable licence to install and use the app on devices you own or control for your own lawful use of the Service.

This licence does not permit you to sell, sublicense, rent, distribute, copy or modify the app, or use our branding as if you were connected with or endorsed by us, except where the law expressly permits it. Open-source components remain subject to their own licences.

14. App stores and third-party services

Your download and use of the app may also be subject to Apple App Store or Google Play terms and to the terms of your device, network and authentication providers. You must comply with those applicable terms.

For an app downloaded from Apple, Apple’s Standard Licensed Application End User License Agreement applies to the licence of the iOS app unless Apple presents an approved custom EULA. These Terms govern your Facet account and the Service. If there is a conflict, the applicable app-store terms control only to the extent required for distribution through that store.

15. Changes to the Service

Because Facet is a beta, we may make reasonable changes to add, remove or improve features; address security, legal or technical requirements; manage capacity; or protect users and the Service. We will not use this clause to introduce a charge without your express agreement or to remove rights that the law gives you.

If a planned change materially reduces the Service available to you, we will give reasonable notice where practicable and explain your options. You may stop using Facet, export available data and delete your account if you do not want to continue.

16. Suspension, beta expiry and ending access

You may stop using Facet at any time. You can delete individual content, export available account data and request account deletion using Settings or by contacting hello@getfacet.space.

We may restrict or suspend access where we reasonably believe this is necessary because of a serious or repeated breach of these Terms, unlawful or abusive use, a security risk, a compromised account, an invalid or revoked invitation, or a legal requirement. Where the issue can reasonably be corrected, we will normally explain the reason and give you an opportunity to respond. We may act immediately where delay could cause harm, compromise security or put us in breach of law.

Beta Pro access is time-limited and may expire. Expiry or revocation will not by itself delete Your Content. Subject to security and legal restrictions, you will retain the ability to view existing data, export available data and delete people or your account, although adding new content or using beta-only features may be limited.

If we plan to end the Facet Service entirely, we will give reasonable advance notice where practicable and provide an opportunity to export available data. Immediate action may still be required for security, legal or circumstances genuinely outside our reasonable control.

17. Account deletion

Account deletion is intended to be permanent. You should export anything you want to keep before confirming deletion. When deletion is successfully completed, you will lose access to the account and its content. Limited records may be retained only where the Privacy Notice explains this or the law requires it.

If deletion fails or you cannot access Settings, contact hello@getfacet.space. Do not send relationship content, authentication codes, passwords or complete exports in a support email.

18. Our responsibility to you

Nothing in these Terms excludes or limits responsibility where doing so would be unlawful. This includes responsibility for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and your statutory consumer rights.

If we fail to comply with these Terms, we are responsible for loss or damage that is a foreseeable result of our breach or our failure to use reasonable care and skill. Loss or damage is foreseeable if it was obvious that it would happen or both you and we knew it might happen when you agreed to these Terms.

We are not responsible for loss caused solely by your breach of these Terms, your failure to take reasonable security or backup steps, or an event genuinely outside our reasonable control where we have taken reasonable steps to reduce its effect. The reminder limitations in section 10 are important when deciding whether Facet is suitable for a particular task.

If you use Facet mainly for business purposes, we are not responsible for loss of profit, revenue, business opportunity, goodwill or anticipated savings that was not reasonably foreseeable. This does not affect rights you have when acting as a consumer or any liability that cannot lawfully be excluded.

19. Changes to these Terms

We may update these Terms for specific reasons, such as changes to the Service, law, security requirements, app-store rules or our business structure. We will post the updated Terms with a new effective date.

If a change materially affects your rights or obligations, we will give reasonable advance notice and ask for fresh agreement where required. If you do not agree, you may stop using Facet, export available data and delete your account before the change takes effect. Changes will not create a charge without your express agreement.

20. General terms

We may transfer operation of Facet and this agreement to another person or organisation, for example if we incorporate the business or sell the Service. We will tell you in advance where practicable, ensure the transfer does not reduce your rights under these Terms, and explain your option to stop using Facet and delete your account.

You may not transfer your account or your rights under these Terms to someone else without our written agreement. If we delay enforcing a term, we may still enforce it later. If a court finds part of these Terms unlawful or unenforceable, the rest will continue to apply.

Except where applicable app-store terms expressly provide otherwise, no person other than you and us has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

21. Governing law and disputes

These Terms are governed by the law of England and Wales. If you are a consumer, you also keep any mandatory protections given by the law of the country where you live. Courts in England and Wales will have jurisdiction, but if you are a consumer living elsewhere in the United Kingdom you may bring proceedings in the courts where you live where the law allows.

Please contact hello@getfacet.space first so we can try to resolve a concern informally. This does not prevent you from using any court, regulator, consumer-protection body or other remedy available to you.
